Terms of Service

These Terms of Service ("Terms") govern your use of the OmniBuzz application for Shopify (the "App"), provided by SMALLROCKS STUDIO LTD, a company registered in England & Wales under number 17261473, of 128 City Road, London, EC1V 2NX, United Kingdom ("we", "us"). By installing or using the App you ("Merchant", "you") agree to these Terms.

1. The service

OmniBuzz tracks the prices of your Shopify products and shows, on your product pages, the lowest price of the last 30 days and the discount calculated from it, to help you display prior prices as Article 6a of Directive 98/6/EC describes. It is provided as software as a service and integrates with your store through the Shopify Admin API and a theme app block.

2. No legal advice, no guarantee of compliance

OmniBuzz is a price-display tool. It is not legal advice and does not make your store or your promotions lawful. National rules differ, some options of the Directive are set by each member state, and the App does not model every case (for example discount codes, perishable goods or physical stores). You remain solely responsible for your prices, your promotions and your compliance with consumer law. See the legal basis page for the limits of the App.

3. Eligibility and accounts

You need an active Shopify store and the authority to bind the business that owns it. You are responsible for activity that occurs through your store's connection to the App and for keeping your Shopify account secure.

4. Plans and billing

The App is offered on the plans below. Paid plans are billed monthly in US dollars through Shopify, and charges appear on your Shopify invoice.

1. Paid plans start with a 5-day free trial.
2. If you exceed a limit by more than 25%, a 15-day grace period starts for that limit. After it ends, labels for products or markets outside the plan are removed until you upgrade or come back within the 25% buffer.
3. Fees are non-refundable except where the law requires otherwise. We may change prices on reasonable notice. A change does not affect the current billing cycle.

5. Your responsibilities

• Use the App in line with applicable law, the Shopify Terms of Service and the Shopify API Terms.
• Check that the label wording you set is accurate and fits your promotions.
• Do not reverse engineer the App, bypass plan limits, interfere with the service or its security, introduce malicious code, or use the App to build a competing product.

6. Data protection

Our handling of personal data is described in the Privacy Policy and the Data Processing Addendum, which forms part of these Terms.

7. Third-party services

The App runs on Shopify. Shopify and any other service you connect are governed by their own terms. We are not responsible for them or for their availability.

8. Intellectual property

We keep all rights in the App and its software. You keep all rights in your store data. We grant you a non-exclusive, non-transferable right to use the App for your store while these Terms apply.

9. Availability and support

We aim to keep the App available but do not guarantee uninterrupted service. Prices are read once a night, and a price you change during the day is picked up at the next nightly check. We may change or discontinue features and will give reasonable notice of material adverse changes where practicable. Support: sales@smallrocks.studio.

10. Warranties and liability

The App is provided "as is" and "as available" without warranties, to the extent the law allows. To the extent the law allows, our total liability arising from the App is limited to the fees you paid for it in the twelve months before the claim, and we are not liable for indirect or consequential loss, lost profit, lost revenue, or fines and penalties imposed on you under consumer or price-display law. Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnification

You will indemnify SMALLROCKS STUDIO LTD against third-party claims, losses and reasonable expenses arising from your prices and promotions, your breach of these Terms or of the law, or claims by your own customers or authorities about your pricing practices. We will tell you about such a claim and let you control the defence, and a settlement that affects your obligations needs your consent, which you will not unreasonably withhold.

12. Term and termination

These Terms apply while the App is installed. You can stop at any time by uninstalling the App from your Shopify admin. That ends future billing and starts the deletion of your data as the Privacy Policy describes. We may suspend or end access for breach of these Terms.

13. Changes

We may change these Terms, for example for new features or legal requirements. We will post the new version with a new "Last updated" date and, for material changes, give reasonable notice in the App or by email. Continuing to use the App after a change takes effect means you accept it.

14. Governing law

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, without prejudice to mandatory consumer protections in your country of residence.

15. General

If a provision is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it. You may not assign these Terms without our consent. Neither party is liable for events beyond its reasonable control. These Terms, the Privacy Policy and the Data Processing Addendum are the entire agreement between you and us about the App.
